DuPont announces electronics company board members

WILMINGTON — DuPont has now named five directors to the board of its rising electronics company, a little more than a week since the company has named longtime executive Jon Kemp as its CEO.

The board of directors for DuPont’s spin-off electronics company includes TE Connectivity CEO Terrence R. Curtin, Senior Advisor to McKinsey & Company Steven Sterin, former Ohio State University President Kristina Johnson, former L3Harris Technologies executive Bryon Green and Condorcet LP founder Shumeet Banerji.

Curtin, Sterin, and Johnson currently sit on the DuPont board of directors, with the longest serving member on the board since 2019. All three will transition to the electronics company once the spin-off is expected to be complete on Nov. 1.

“As we prepare the Electronics business to become an independent public company, we’re assembling a board with a deep understanding of technology and innovation-led growth strategies,” DuPont’s lead independent director Alexander Cutler said in a prepared statement. “The future board members are highly accomplished leaders with capabilities spanning capital allocation, corporate governance, and global business management.”

Green and Banerji are independent directors, meaning that they do not have a material relationship with the company.

The five board members join Michael Stubblefield, the president and CEO of Avantor, who has been named the chairman of the board of directors for the company.

“Together this strong mix of capabilities will position the future Electronics company to achieve its growth potential and drive shareholder value creation,” Cutler added.

DuPont is forging ahead with spinning off the $6 billion electronics and industrial segment of the company, which includes its electronic materials and budding semiconductor chip business. DuPont’s key end markets for electronics also included components that allowed devices to connect to Wi-Fi or Bluetooth.

Kemp, who has been named the new leader of the yet-to-be-named company, pointed to the years of experience of the assembled directors. Johnson is a past undersecretary in the U.S. Department of Energy under President Barack Obama, while Curtin is CEO of a global company that focuses on connectivity and sensor solutions, for example.

Kemp himself had led the electronics division for six years and had been at DuPont for 20 years. He was also the head of strategy during the DowDuPont merger.

“As we seek to lead a new era of advanced computing and connectivity, the future Electronics company will be well-prepared with a best-in-class board,” Kemp. “The group we have assembled are bold innovators and fresh thinkers who will play a critical role in shaping our strategic direction and strengthening our position as a leader in the electronics industry.”

DuPont will continue to search for the remaining independent directors and are expected to be announced at a later date.
